You agree to indemnify, defend and hold harmless ARN, its direct and indirect parents, subsidiaries, and affiliates, and each of their respective employees, directors, members, managers, shareholders, agents, vendors, customers, successors, and assigns (collectively, “ARN parties”) from and against any and all claims, demands, regulatory actions, or other liabilities for suits, injuries, losses, damages, recall costs, or expenses (including attorney’s fees) (each, a “claim”) arising out of or resulting in any way from your breach of the above confidentiality obligations and/or your negligence or willful misconduct.
In the defense of any claims, you shall engage counsel acceptable to ARN in its sole discretion. You shall not settle any claim without the prior written consent of ARN, which may be withheld for any reason. ARN may, but is not obligated to, direct the defense of any claim, including settling such claim after giving you notice, in each case in such manner and on such terms as ARN may deem appropriate. No act or omission by ARN shall relieve you of your obligations hereunder.
By using the document, you acknowledge that you have read, understand, and agree to be bound by these terms and any additional terms we provide. These terms affect your legal rights and obligations, govern your use of the document, are legally binding, and require you to indemnify us. By using the document, you represent and warrant that you are authorized to create a binding contract on behalf of yourself or the entity you hold yourself out as representing.
